ในการที่ศาลจะมีคำสั่งเห็นชอบด้วยการประนอมหนี้หรือไม่นั้น ให้ศาล พิจารณารายงานของเจ้าพนักงานพิทักษ์ทรัพย์และข้อคัดค้านของเจ้าหนี้ ถ้ามี เจ้าหนี้ที่ได้ยื่นคำขอรับชำระหนี้แล้วมีอำนาจคัดค้านต่อศาลได้ ถึงแม้จะได้เคยออก เสียงลงมติยอมรับไว้ในที่ประชุมเจ้าหนี้ก็ตาม
