ในการขายฝากคู่สัญญาจะตกลงกันไม่ให้ผู้ซื้อจำหน่ายทรัพย์สินซึ่ง ขายฝากก็ได้ ถ้ และผู้ซื้อจำหน่ายทรัพย์สินนั้นฝ่าฝืนสัญญาไซร้ ก็ต้องรับผิดต่อผู้ขายในความ เสียหายใดๆอันเกิดแต่การนั้น
