ในการเลิกหรือสั่งเลิกบริษัท ที่ประชุมผู้ถือหุ้น หรือศาล แล้วแต่กรณี ต้องแต่งตั้ง และกำหนดค่าตอบแทนผู้ชำระบัญชีและผู้สอบบัญชีในคราวเดียวกันด้วย
