การที่จะตกลงกันไว้เสียแต่ก่อนเวลาหนี้ถึงกำหนดชำระเป็น ข้อความอย่างใดอย่างหนึ่งว่า ถ้าไม่ชำระหนี้ ให้ผู้รับจำนำเข้าเป็นเจ้าของทรัพย์สินจำนำ หรือให้ จัดการแก่ทรัพย์สินนั้นเป็นประการอื่นนอกจากตามบทบัญญัติทั้งหลายว่าด้วยการบังคับจำนำนั้น ไซร้ ข้อตกลงเช่นนั้นท่านว่าไม่สมบูรณ์
