ในการที่ตัวแทนค้าต่างทำการขายหรือซื้อหรือจัดทำกิจการค้าขาย อย่างอื่นต่างตัวการนั้น ท่านว่าตัวแทนค้าต่างย่อมได้ซึ่งสิทธิอันมีต่อคู่สัญญาอีกฝ่ายหนึ่งในกิจการ เช่นนั้น และตัวแทนค้าต่างย่อมเป็นผู้ต้องผูกพันต่อคู่สัญญาฝ่ายนั้นด้วย
