ที่ประชุมผู้ถือหุ้นอาจลงมติให้ลดทุนโดยวิธีตัดหุ้นจดทะเบียนที่จำหน่ายไม่ได้หรือ ที่ยังมิได้นำออกจำหน่ายได้ เมื่อที่ประชุมมีมติแล้ว ให้บริษัทขอจดทะเบียนลดทุนภายในสิบสี่วันนับแต่วันที่ ที่ประชุมลงมติ
