บริษัทมหาชนจำกัด คือ บริษัทประเภทซึ่งตั้งขึ้นด้วยความประสงค์ที่จะเสนอขายหุ้น ต่อประชาชน โดยผู้ถือหุ้นมีความรับผิดจำกัดไม่เกินจำนวนเงินค่าหุ้นที่ต้องชำระและบริษัทดังกล่าวได้ระบุ ความประสงค์เช่นนั้นไว้ในหนังสือบริคณห์สนธิ
