ในจำนวนกรรมการนั้น แม้ตำแหน่งจะว่างไปบ้างกรรมการที่มี ตัวอยู่ก็ย่อมทำกิจการได้ แต่ถ้าในเวลาใดจำนวนกรรมการลดน้อยลงกว่าจำนวนอันจำเป็นที่จะเป็น องค์ประชุมได้ตลอดเวลาเช่นนั้น กรรมการที่มีตัวอยู่ย่อมทำกิจการได้เฉพาะแต่ในเรื่องที่จะเพิ่ม กรรมการขึ้น ให้ครบจำนวนหรือนัดเรียกประชุมใหญ่ของบริษัทเท่านั้น จะกระทำการอย่างอื่น ไม่ได้
