ถ้ากรรมการทำให้เกิดเสียหายแก่บริษัท บริษัทจะฟ้องร้องเรียก เอาสินไหมทดแทนแก่กรรมการก็ได้ หรือในกรณีที่บริษัทไม่ยอมฟ้องร้อง ผู้ถือหุ้นคนหนึ่งคนใด จะเอาคดีนั้นขึ้นว่าก็ได้ อนึ่ง การเรียกร้องเช่นนี้ เจ้าหนี้ของบริษัทจะเป็นผู้เรียกบังคับก็ได้เท่าที่เจ้าหนี้ ยังคงมีสิทธิเรียกร้องแก่บริษัทอยู่
