การโอนหนี้อันพึงต้องชำระตามเขาสั่งนั้น ท่านว่าจะยกขึ้นเป็นข้อ ต่อสู้ลูกหนี้ หรือบุคคลภายนอกคนอื่นได้แต่เฉพาะเมื่อการโอนนั้นได้สลักหลัไว้ในตราสาร และ ตัวตราสารนั้นได้ส่งมอบให้แก่ผู้รับโอนไปด้วย
