อันการชำระหนี้นั้น ต้องทำให้แก่ตัวเจ้าหนี้หรือแก่บุคคลผู้มีอำนาจ รับชำระหนี้แทนเจ้าหนี้ การชำระหนี้ให้แก่บุคคลผู้ไม่มีอำนาจรับชำระหนี้นั้น ถ้าเจ้ หนี้ให้สัตยาบัน ก็นับว่าสมบูรณ์
