Preamble
พระราชบัญญัติ บริษัทมหาชนจำกัด พ.ศ. ๒๕๓๕ ภูมิพลอดุลยเดช ป.ร. ให้ไว้ณวันที่ ๒๙มีนาคมพ.ศ. ๒๕๓๕ เป็นปีที่ ๔๗ในรัชกาลปัจจุบัน พระบาทสมเด็จพระปรมินทรมหาภูมิพลอดุลยเดชมีพระบรมราชโองการโปรดเกล้าฯให้ประกาศว่า โดยที่เป็นการสมควรปรับปรุงกฎหมายว่าด้วยบริษัทมหาชนจำกัด จึงทรงพระกรุณาโปรดเกล้าฯ ให้ตราพระราชบัญญัติขึ้นไว้โดยคำแนะนำและยินยอมของสภา นิติบัญญัติแห่งชาติ ทำหน้าที่รัฐสภา ดังต่อไปนี้

การกู้เงินของบริษัทโดยการออกหุ้นกู้เพื่อเสนอขายต่อประชาชน ให้เป็นไปตาม กฎหมายว่าด้วยหลักทรัพย์และตลาดหลักทรัพย์ และให้นำมาตรา ๒๕มาใช้บังคับโดยอนุโลม มติที่ให้ออกหุ้นกู้ตามวรรคหนึ่งต้องใช้มติของที่ประชุมผู้ถือหุ้น ด้วยคะแนนเสียงไม่น้อยกว่าสามในสี่ ของจำนวนเสียงทั้งหมดของผู้ถือหุ้นซึ่งมาประชุมและมีสิทธิออกเสียงลงคะแนน
