ถ้าจำนำใบหุ้น หรือใบหุ้นกู้ชนิดระบุชื่อ ท่านห้ามมิให้ยกขึ้นเป็น ข้อต่อสู้บริษัทหรือบุคคลภายนอก เว้นแต่จะได้จดลงทะเบียนการจำนำนั้นไว้ในสมุดของบริษัท ตามบทบัญญัติทั้งหลายในลักษณะ๒๒ว่ ด้วยการโอนหุ้นหรือหุ้นกู้
