การแสดงเจตนาลวงโดยสมรู้กับคู่กรณีอีกฝ่ายหนึ่งเป็นโมฆะแต่จะ ยกขึ้นเป็นข้อต่อสู้บุคคลภายนอกผู้กระทำการโดยสุจริต และต้องเสียหายจากการแสดงเจตนาลวง นั้นมิได้ ถ้ การแสดงเจตนาลวงตามวรรคหนึ่ ทำขึ้นเพื่ออำพรางนิติ รรมอื่ ให้นำ บทบัญญัติของกฎหมายอันเกี่ยวกับนิติกรรมที่ถูกอำพรางมาใช้บังคับ
