กรรมการคนใดกระทำการใดที่ที่ประชุมผู้ถือหุ้นมีมติให้อำนาจอนุมัติหรือให้สัตยาบันแล้ว แม้ต่อมาจะมีการเพิกถอนมตินั้น กรรมการคนนั้นไม่ต้องรับผิดในการกระทำนั้นต่อบริษัท ผู้ถือหุ้นหรือเจ้าหนี้ ของบริษัท
