ถ้าผู้ชำระบัญชีได้ดำเนินการตามที่บัญญัติไว้ในหมวดนี้แล้ว เห็นว่าทรัพย์สินของ บริษัทยังไม่พอชำระหนี้ และไม่สามารถทำความตกลงประนอมหนี้กับเจ้าหนี้ทั้งหมดได้ ให้ผู้ชำระบัญชีร้องขอ ต่อศาลเพื่อสั่งให้บริษัทนั้นล้มละลาย
